Terms of service

1. The agreement and who we are
These Terms of Service (the "Terms") are a binding agreement between you and Enlion Services LLC, a limited liability company formed in the State of Delaware, United States ("Kalendia", "we", "us", or "our"). They govern your access to and use of the Kalendia website, web application, Microsoft Teams bot, scheduling pages, and related services (together, the "Service").
By creating an account, connecting a calendar, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. These Terms apply to you as an individual user of the Service.
Our registered address is 131 Continental Dr, Suite 305, Newark, DE 19713, USA. How we collect, use, and protect your personal data is described separately in our Privacy Policy, which is incorporated into these Terms by reference. If anything in these Terms conflicts with the Privacy Policy regarding the handling of your personal data, the Privacy Policy governs that subject.
2. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement and that you are legally able to enter into these Terms. If you are below the age of majority in your country of residence, you should review these Terms with a parent or guardian. We may refuse, suspend, or terminate access to anyone who does not meet these requirements.
3. Your account and connected-calendar credentials
To use the Service you create an account, which is managed through our authentication provider. You are responsible for the accuracy of the information you provide and for all activity that occurs under your account. Keep your login credentials confidential and notify us promptly at support@kalendia.io if you believe your account has been accessed without your authorization.
The Service works by connecting to your own calendar and video accounts. When you connect a source, you authorize Kalendia to access that account on your behalf: for Google and Microsoft this is done through OAuth, for Apple iCloud through an app-specific password you generate at appleid.apple.com, for an ICS feed through a read-only feed URL you supply, and for Zoom (where available) through OAuth. You are responsible for keeping these credentials and authorizations secure and for ensuring you have the right to connect each account you add.
You can disconnect any connected calendar or video account at any time from within the Service. Disconnecting a source revokes the associated provider token and removes the copies Kalendia synced from it. For iCloud, you should also revoke the app-specific password at appleid.apple.com, and for Google, Microsoft, and Zoom you may additionally revoke access from the relevant provider's own security settings.
4. Description of the Service
Kalendia is a calendar-sync and scheduling service. Depending on your plan and the sources you connect, the Service lets you:
- Sync events in near real time across the calendars you connect, including Google Calendar, Microsoft 365 / Outlook, Apple iCloud, and read-only ICS feed URLs.
- Apply per-source visibility rules, so that a calendar can be mirrored as busy-only, title-only, or with full details, according to what you choose.
- Publish public scheduling pages that compute your availability across your connected calendars and let other people book time with you.
- Automatically attach a video meeting (Google Meet, Microsoft Teams, or Zoom) to bookings.
- Use the Kalendia Microsoft Teams bot.
We may add, change, or remove features over time. We will try not to materially reduce the core functionality you rely on without notice, but the Service is provided on an ongoing, evolving basis.
5. Acceptable use and prohibited conduct
You agree to use the Service only for lawful purposes and in line with these Terms. When you connect a third-party account, you also agree to comply with that provider's own terms of service, including those of Google, Microsoft, Apple, and Zoom. Your authorization for Kalendia to access those accounts does not relieve you of your obligations to those providers.
You agree that you will not:
- Scrape, crawl, harvest, or otherwise extract data from the Service by automated means except through interfaces we expressly provide for that purpose.
- Connect a calendar you do not own or are not authorized to access, or otherwise abuse, surveil, or misuse another person's calendar or scheduling information.
- Resell, sublicense, rent, or otherwise commercially redistribute the Service or access to it without our prior written permission.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems, or probe, scan, or test the vulnerability of the Service without authorization.
- Interfere with or disrupt the integrity or performance of the Service, including by overloading, flooding, or sending excessive automated requests.
- Use the Service to send spam, distribute malware, or carry out any unlawful, fraudulent, infringing, or abusive activity.
- Circumvent, disable, or interfere with security, rate-limiting, or usage controls in the Service.
- Use the Service in a way that violates the terms of any connected provider (Google, Microsoft, Apple, Zoom) or causes us to violate those terms.
We may investigate suspected violations and may suspend or terminate access to protect the Service, our users, and the third-party platforms we depend on.
6. Subscriptions, billing, and taxes
Kalendia offers individual paid plans (Basic, Premium, and Pro). The features and the price of each plan are shown on our pricing page and at checkout. Paid plans are billed on a monthly or annual basis, as you select.
New paid subscriptions include a 14-day free trial. If you do not cancel before the trial ends, your subscription begins and your chosen payment method is charged for the first billing period.
Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price for your plan, until you cancel. By subscribing, you authorize us, through our payment processor, to charge your payment method on each renewal.
Payments are processed by Stripe. Kalendia does not receive or store your full card number. Your use of Stripe is also subject to Stripe's own terms and privacy policy. Where required, applicable taxes (including EU VAT) are calculated and added at checkout using Stripe Tax, based on the information available about your location.
You can cancel your subscription at any time through the billing portal accessible from your account. When you cancel, your plan remains active until the end of the current paid period, and it does not renew after that. You will not be charged again for that subscription after cancellation takes effect.
Except where a refund is required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or for periods you did not use. Nothing in this section limits any mandatory consumer-protection or withdrawal rights you may have under the law of your country of residence, including, for consumers in the EU, EEA, and UK, any statutory right of withdrawal that applies to your purchase.
We may change our prices or plan structure. If we change the price of a plan you are subscribed to, we will give you reasonable advance notice, and any change will take effect on a renewal after that notice. If you do not agree to a price change, you can cancel before it takes effect.
7. Third-party services
The Service depends on third-party platforms that you connect, including Google, Microsoft, Apple, and Zoom, and on the APIs those platforms provide. Those platforms are operated by third parties and are not under our control.
We are not responsible for the availability, accuracy, or behavior of those third-party services, nor for outages, rate limits, changes, deprecations, or discontinuations they make to their APIs or products. Any of these can affect or interrupt how the Service works, and a change or outage on a connected platform may temporarily or permanently limit features that rely on it. Your relationship with each third-party provider is governed by that provider's own terms.
8. Intellectual property
The Service, including its software, design, text, logos, and other content we provide (excluding your data and third-party content), is owned by Enlion Services LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own use.
You retain all rights in the calendar data, scheduling configuration, and other content you connect or provide. You grant us the limited rights necessary to operate the Service for you, such as to read, sync, store, and display that data to provide the features described in these Terms. "Kalendia" and our logos are our trademarks and may not be used without our permission. We welcome feedback, and if you choose to send us suggestions, you agree we may use them without obligation to you.
9. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, that it will meet your requirements, or that calendar synchronization and availability calculations will always be timely, complete, or accurate, particularly where a connected third-party platform is delayed, unavailable, or changes its behavior. You are responsible for verifying important scheduling outcomes. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you, and nothing here removes warranties or rights that cannot be excluded under applicable law.
10. Limitation of liability
To the fullest extent permitted by law, Enlion Services LLC and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or fifty US dollars (USD 50). These limitations apply to all theories of liability. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence, and nothing limits any mandatory consumer rights you have under the law of your country of residence.
11. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Enlion Services LLC and its officers, members, and employees from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or related to your misuse of the Service, your violation of these Terms, your violation of the terms of a connected provider, or your infringement of the rights of any third party. We will give you notice of any such claim and may participate in its defense.
12. Termination and effect of termination
You may stop using the Service and delete your account at any time using the in-app "Delete account" option. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if continuing to provide the Service to you would create a security, legal, or operational risk. Where reasonable and lawful, we will give you notice.
When you delete your account, we purge your data and revoke the OAuth grants Kalendia holds for Google and Zoom. For iCloud, you should revoke the app-specific password yourself at appleid.apple.com, and for Microsoft you may also revoke Kalendia's access from your Microsoft account security settings. Some information may be retained for the limited periods and purposes described in our Privacy Policy (for example, where retention is needed for legal, accounting, or security reasons). The sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and the general provisions) will continue to apply.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date at the top and, where appropriate, give you additional notice (for example, by email or in the Service). Changes take effect when posted unless we state otherwise. If you continue to use the Service after changes take effect, you accept the updated Terms. If you do not agree, you should stop using the Service and may cancel and delete your account.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where the mandatory consumer-protection laws of your country of residence provide otherwise. Nothing in this section deprives you of the protection of mandatory provisions of the law that applies where you live.
Before bringing a formal claim, we encourage you to contact us at support@kalendia.io so we can try to resolve the matter informally. If a dispute cannot be resolved that way, it will be brought exclusively in the state or federal courts located in the State of Delaware, United States, and you and Enlion Services LLC consent to the personal jurisdiction of those courts. This section does not prevent EU, EEA, and UK consumers from bringing proceedings in, or relying on the mandatory protections of, their country of residence.
15. General provisions
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or, if it cannot be modified, severed from these Terms, and the remaining provisions will continue in full force and effect.
Entire agreement. These Terms, together with the Privacy Policy and any plan terms shown at checkout, are the entire agreement between you and us regarding the Service and replace any prior agreements or understandings on that subject.
Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. These Terms bind and benefit the parties and their permitted successors and assigns.
No waiver. If we do not enforce a provision of these Terms on any occasion, that is not a waiver of our right to enforce it later, and no waiver is effective unless we make it in writing.
Force majeure. We are not liable for any failure or delay in performing our obligations under these Terms to the extent it is caused by events beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, labor disputes, governmental action, failures of public utilities or networks, and failures or interruptions of third-party platforms, hosting providers, or internet infrastructure.
